tsasaretimelyandconsistentwithGoodUtilityPracticeandwitheffortsthatsuchpartywouldundertakefortheprotectionofitsowninterests.MedicallyNecessaryCaremeanscarethatis(1)appropriateandconsistentwithandessentialfortheprevention,diagnosis,ortreatmentofaPatient’scondition;(2)themostappropriatesupplyorlevelofserviceforthePatient’sconditionthatcanbeprovidedsafely;(3)notprovidedprimarilyBestEffortstheeffortsthataprudentPersondesirousofachievingaresultwoulduseinsimilarcircumstancestoensurethatsuchresultisachievedasexpeditiouslyaspossible;provided,however,thatanobligationtouseBestEffortsunderthisAgreementdoesnotrequirethePersonsubjecttothatobligationtotakeactionsthatwouldresultinamateriallyadversechangeinthebenefitstosuchPersonofthisAgreementandtheContemplatedTransactions.Unreasonablyimpracticablemeansthatthemeasuresnecessarytocomplywiththeregulationsrequiresuchahighinvestmentofrisk,money,time,oranyotherresourceorassetthattheoperationofamarijuanaestablishmentisnotworthyofbeingcarriedoutinpracticebyareasonablyprudentbusinessperson.EnvironmentalAuthorizationsmeansalllicenses,permits,orders,approvals,notices,registrationsorotherlegalprerequisitesforconductingthebusinessoftheBorroweroranySubsidiaryrequiredbyanyEnvironmentalRequirement.GovernmentalAuthoritiesmeansanynationorcountry(includingbutnotlimitedtotheUnitedStates)andanycommonwealth,territoryorpossessionthereofandanypoliticalsubdivisionofanyoftheforegoing,includingbutnotlimitedtocourts,departments,commissions,boards,bureaus,agencies,ministriesorotherinstrumentalities.MedicallyNecessaryTreatmentmeansanytreatment,tests,medication,orstayinhospitalorpartofastayinhospitalwhich:GovernmentalApprovalsmeansallauthorizations,consents,approvals,licensesandexemptionsof,registrationsandfilingswith,andreportsto,allGovernmentalAuthorities.EnvironmentalPermitsanyandallpermits,licenses,approvals,registrations,notifications,exemptionsandotherauthorizationsrequiredunderanyEnvironmentalLaw.Approvalsmeansthepermits,clearances,licensesandconsentsasarelistedinSchedule3heretoandanyotherstatutoryapprovals.Clearancesmeansanyapprovals,consents,clearances,determinations,permissions,confirmations,comfortlettersandwaiversthatmayneedtobeobtained,allapplicationsandfilingsthatmayneedtobemadeandallwaitingperiodsthatmayneedtohaveexpired,fromorunderanyLaworpracticesappliedbyanyRelevantAuthority(orunderanyagreementsorarrangementstowhichanyRelevantAuthorityisaparty),ineachcasethatarenecessaryand/orexpedienttosatisfyoneormoreoftheRegulatoryConditions;andanyreferencetoanyClearancehavingbeen“satisfied”shallbeconstruedasmeaningthattheforegoinghasbeenobtained,orwhererelevant,madeorexpired;GovernmentalAuthorizationsmeansallfranchises,permits,licenses,approvals,consentsandotherauthorizationsofallAuthorities.ReasonableCommercialEffortsmeans,withrespecttotheapplicableobligationoftheCompany,reasonablecommercialeffortsforsimilarlysituated,publicly-tradedcompanies.Currentsignificantinvestigativeinformationmeansinvestigativeinformationthatalicensingboard,afteraninquiryorinvestigationthatincludesnotificationandanopportunityfortheaudiologistorspeech-languagepathologisttorespond,ifrequiredbystatelaw,hasreasontobelieveisnotgroundlessand,ifprovedtrue,wouldindicatemorethanaminorinfraction.CorporateAuthoritiesmeanstheCityCounciloftheCity.AdditionalDocumentshasthemeaningspecifiedthereforinSection5.12oftheAgreement.
