IntelOBLDistribution(CommercialUse)License[v2021.05.11]ThisLIMITEDDISTRIBUTIONLICENSEAGREEMENT(“Agreement”)isacontractbetweenYouandIntelCorporationanditsaffiliates(“Intel”).ItgovernsYouruseoftheMaterials.IfYouareacceptingthisAgreementonbehalfoforinconjunctionwithYourworkforYouremployer,YourepresentandwarrantthatYouhavetheauthoritytobindyouremployertothisAgreement.Bydownloading,installing,orusingtheMaterials,Youagreetotheseterms.IfYoudonotagree,donotusetheMaterialsanddestroyallcopies.1.DEFINITIONS.1.1“Including”meansincludingbutnotlimitedto,whetherornotcapitalized.1.2“IntelComponents”meansahardwarecomponentorproductdesigned,developed,sold,ordistributedbyInteloritsaffiliates.1.3“Materials”meanssoftwareorothercollateralInteldeliverstoYouunderthisAgreement.1.4“You”or“Your”meansyouoryouandyouremployeranditsaffiliates,whetherornotcapitalized.1.5“YourProducts”meansproductsdevelopedortobedevelopedbyorforYouthatincludeanIntelComponentexecutingtheMaterials.2.LICENSES.2.1License.SubjecttothetermsofthisAgreement,IntelgrantstoYou,fortheTerm,alimited,nonexclusive,nontransferable,revocable,worldwide,fullypaid-uplicenseunderIntel’sintellectualpropertyrightsintheMaterials,withouttherighttosublicense,tousetheMaterialsinthedevelopmentofYourProducts,includingmodifyingMaterialsdeliveredassourcecode,anddistributingtheMaterials,includingYourmodifications,inobjectform,embeddedinorforexecutiononYourProductandundertermsandconditionsconsistentwithYourrightsandobligationsunderthisAgreement.YoumaydisclosetheMaterialstoYoursubcontractorforitsworkonYourProductsunderanagreementpreventingthesubcontractorfromdisclosingtheMaterialstoothers.2.2Restrictions.Exceptasauthorizedabove,Youwillnot:(a)useormodifytheMaterialsinanyotherway;(b)reverseengineer,decompile,ordisassembletheMaterialsprovidedinobjectform(exceptandonlyasspecificallyrequiredunderSection2.5),or(c)usetheMaterialstoviolateoraidintheviolationofanyinternationalhumanright.Youwillbeliableforyoursubcontractor’sactsoromissionsincludingbreachofconfidentiality.2.3NoImpliedLicense.ExceptfortheexpresslicenseinSection2.1,Inteldoesnotgrantanyexpressorimpliedlicensestoyouunderanylegaltheory.InteldoesnotlicenseYoutomake,havemade,use,sell,orimportanyInteltechnologyorthird-partyproducts,orperformanypatentedprocess,evenifreferencedintheMaterials.AnyotherlicensesfromIntelrequireadditionalconsideration.NothinginthisAgreementrequiresInteltograntanyadditionallicense.2.4Feedback.IfyougiveIntelcommentsorsuggestionsrelatedtotheMaterials,IntelconfidentialinformationprovidedinconnectionwiththisAgreement,orIntelComponents,Intelcanusetheminanywayanddisclosethemtoanyone,withoutpaymentorotherobligationstoyou.2.5OpenSourceLicenses.TheMaterialsmayincludesoftwaresubjecttoanopensourcelicense,includinglicensesrecognizedbytheOpenSourceInitiative(http://www.opensource.org).NothinginthisAgreementlimitsanyrightsunder,orgrantsrightsthatsupersede,thetermsofanyapplicableopensourcesoftwarelicense.2.6Third-PartySoftware.Youruseofanythird-partysoftwareissubjecttoYourcompliancewiththelicenseYouobtaindirectlyfromthatthird-party.Alistingofanysuchthird-partysoftwaremaybeinatextfileaccompanyingtheMaterials.3.CONFIDENTIALITY.ThisAgreementandtheMaterialsareIntelconfidentialinformationandsubjecttoYourvalidcorporatenon-disclosureagreementwithIntel(CNDA).ExceptasauthorizedinSection2.1,youmustnotdisclosethisinformationtoanyone,includingtheU.S.government.ThisAgreementwillnotbecomeeffective,orwillautomaticallyterminate,intheabsenceofaCNDA.4.OWNERSHIP.OwnershipoftheMaterialsandrelatedintellectualpropertyrightsisunchanged.YoumustmaintainallcopyrightorotherproprietarynoticesintheMaterials.5.NOWARRANTY.TheMaterialsareprovided“asis,”withoutanyexpressorimpliedwarrantyofanykindincludingwarrantiesofmerchantability,non-infringement,title,orfitnessforaparticularpurpose.TheMaterialsmayincludepre-releasesoftwareoralgorithmsandmaynotbefullyfunctional.Intelisnotrequiredtomaintain,update,orsupporttheMaterials.6.LIMITONLIABILITY.IntelisprovidingtheMaterialsforfreeandYouruseofthemisatYourownrisk.IntelwillnotbeliabletoYouunderanylegaltheoryforanylossesordamagesinconnectionwiththeMaterials,includingconsequentialdamages,evenifthepossibilityofdamageswasforeseeableorknown.Ifanyliabilityisfound,Intel’stotal,cumulativeliabilitytoYouwillnotexceed$100.00U.S.forallclaimsarisingfromorrelatedtothisAgreement.TheseliabilitylimitationsareafundamentalbasisofourbargainandIntelwouldnothaveenteredintothisAgreementwithoutthem.7.INDEMNITY.Youwillindemnify,defend,andholdIntelharmlessfromanyallegationagainstIntelarisinginconnectionwithYouruseoftheMaterialsandYouwillpayallofIntel’slosses,liabilities,andcosts(includingattorneys’fees)arisingfromtheallegation.8.PRIVACY;DATACOLLECTION8.1Privacy.IntelrespectsYourprivacy.ForinformationaboutwhyandhowIntelmaycollectanduseinformationfromYouruseoftheMaterials,seehttp://www.intel.com/privacy.8.2DataCollection.SomedownloadedsoftwareincludedintheMaterialsmaygenerateandcollectinformationaboutthesoftwareandusageandtransmitittoInteltohelpimproveIntel’sproductsandservices.Thiscollectedinformationmayincludeproductname,productversion,timeofeventcollection,licensetype,supporttype,installationstatus,hardwareandsoftwareperformance,anduse.9.GENERAL.9.1Assignment.YoumaynotassignYourrightsorobligationsunderthisAgreementwithoutIntel’spriorwrittenconsent.NothirdpartywillhaveanyrightsunderthisAgreement.9.2DisputeResolution.IfwehaveadisputeregardingthisAgreement(otherthanadisputeovermisappropriationoftradesecretsorbreachesofconfidentialityobligations),neitherofuscanfilealawsuitorotherregulatoryproceedingunlessthecomplainingpartyprovidestheotherpartyadetailednoticeofthedisputeandourseniormanagersattempttoresolvethedispute.Ifwecan’tresolvethedisputein30days,eitherofusmaydemandmediationandwillthentrytoresolvethedisputewithanimpartialmediator.Ifwedon’tresolvethedisputewithin60daysafterthemediationdemand,eitherofusmaybeginlitigation.9.3GoverningLaw;Jurisdiction.ThisAgreementisgovernedbyUSAandDelawarelawwithoutregardtoconflictoflawsprinciples.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoodsdoesnotapply.Exceptforclaimsformisappropriationoftradesecretsorbreachofconfidentialityobligations,alldisputesandactionsarisingoutoforrelatedtothisAgreementaresubjecttotheexclusivejurisdictionofthestateandfederalcourtsinWilmington,Delawareandyouconsenttopersonaljurisdictioninthosecourts.9.4CompliancewithLaws.TheMaterialsaresubjecttoexportcontrolsunderapplicablegovernmentlawsandregulations,includingintheU.S.Youmustcomplywithapplicablelawsandregulations,includingU.S.andworldwideexportregulations.Youmustnotexport,import,ortransfertheMaterialstoanyprohibitedorsanctionedcountry,person,orentity.YoumustnotusetheMaterialsforthedevelopment,design,manufacture,orproductionofnuclear,missile,chemical,orbiologicalweapons.9.5Severability.IfacourtholdsaprovisionofthisAgreementunenforceable,thecourtwillmodifythatparttotheminimumextentnecessarytomakethatpartenforceableor,ifnecessary,toseverthatpart.Therestoftheprovisionremainsfullyenforceable.9.6Waiver.NowaiverofanyprovisionofthisAgreementwillbevalidunlessinawritingsignedbyanauthorizedrepresentativeofthewaivingpartythatspecifiesthewaivedprovision.Thatsignedwaiverwillnotconstituteawaiverofanyotherprovision.Aparty’sfailureordelayinenforcinganyprovisionwillnotoperateasawaiver.9.7EntireAgreement.Exceptforanynon-disclosureagreementbetweenyouandIntel,thisAgreementconstitutestheentireagreement,andsupersedesallprioragreements,betweenIntelandYouconcerningitssubjectmatter.10.TERM;TERMINATION;SURVIVAL.10.1Term.ThisAgreementbeginsuponYouracceptanceofitstermsandcontinuesuntilterminatedunderSections3or10.2.10.2Termination.EitherpartymayterminatethisAgreement,with30dayswrittennotice,atanytimeforanyreason.ThisAgreementwillautomaticallyterminateupon(a)YourbreachoftheAgreement,(b)anallegationthatyoudonothaveauthoritytobindyouremployertotheseterms,or(c)YourassertionthatanIntelComponent,theMaterials,oranyproductbasedonanyIntelComponentsortheMaterialsinfringesYourpatents.10.3EffectofTermination.UponterminationoftheAgreement,thelicensestoYouwillimmediatelyterminateandYoumustceaseusingtheMaterialsanddestroyallcopiesinyourpossessionanddirectYoursubcontractorstodothesame.TerminationofthisAgreementwillnotterminatetheCNDA.10.4Survival.AllsectionsexceptSection2.1surviveterminationofthisAgreement.
