A.SpecificLicenses: (i)IndividualUser: (a)therighttobrowse,search,retrieve,displayandviewtheProduct; (b)therighttodownload,storeorprintsinglecopies ofindividualDocuments,orportionsofsuchDocuments,solelyforLicensee'sownuse. (f)LicenseewillprovideASTMwithalistofauthorized IP(numericIPdomainaddresses)addressesand,ifMulti-Site,alistofauthorizedsites. B.ProhibitedUses. (i)ThisLicensedescribesallpermitteduses.Anyother useisprohibited,isaviolationofthisAgreementandcanresultinimmediateterminationofthisLicense. (ii)AnAuthorizedUsermaynotmakethisProduct,or Documents,availabletoanyoneotherthananotherAuthorizedUser,whetherbyInternetlink, orbypermittingaccessthroughhisorherterminalorcomputer;orbyothersimilarordissimilarmeansorarrangements. (iii)Specifically,nooneisauthorizedtotransmit,copy, ordistributeanyDocumentinanymannerorforanypurposeexceptasdescribedinSection 3ofthisLicense,withoutASTM'spriorexpresswrittenpermission. Inparticular, exceptasdescribedinSection3,noonemay,withoutthepriorexpresswrittenpermission ofASTM:(a)distributeorforwardacopy(electronicorotherwise)ofanyarticle,file, ormaterialobtainedfromanyASTMProductorDocument;(b)reproduceorphotocopyany standard,article,file,ormaterialfromanyASTMProduct;(c)alter,modify,adapt, ortranslateanystandard,article,file,ormaterialobtainedfromanyASTMProduct; (d)includeanystandard,article,file,ormaterialobtainedfromanyASTMProductor Documentinotherworksorotherwisecreateanyderivativeworkbasedonanymaterials obtainedfromanyASTMProductorDocument;(e)imposeanychargeforacopy(electronicor otherwise)ofanystandard,article,file,ormaterialobtainedfromanyASTMProductor Document,exceptfornormalprinting/copyingcostswheresuchreproductionisauthorized underSection3;or(f)systematicallydownload,archive,orcentrallystoresubstantial portionsofstandards,articles,files,ormaterialobtainedfromanyASTMProductor Document.Inclusionofprintorelectroniccopiesincoursepacksorelectronicreserves, orfordistancelearninguse,isnotauthorizedbythisLicenseandisprohibitedwithout ASTM'spriorwrittenpermission.  (iv)LicenseemaynotutilizetheProduct,oraccessto theProduct,forcommercialpurposes,includingbutnotlimitedtothesaleofDocuments, materials,fee-for-serviceuseoftheProductorbulkreproductionordistributionofDocuments inanyform;normayLicenseeimposespecialchargesonAuthorizedUsersforuseofthe Productbeyondreasonableprintingoradministrativecosts. C.CopyrightNotice.AllcopiesofmaterialfromanASTM ProductmustbearpropercopyrightnoticeinASTM'sname,asshownintheinitialpage ofeachstandard,article,fileormaterial.Obscuring,deletionormodificationof thecopyrightnoticeisnotpermitted.  4.DetectionofProhibitedUses. A.Licenseeisresponsiblefortakingreasonablemeasures topreventprohibiteduses,andpromptlynotifyASTMofanyinfringementsofcopyrightor prohibiteduseofwhichLicenseebecomesaware. LicenseewillcooperatewithASTM ininvestigatinganysuchprohibitedusesandwilltakereasonablestepstoensurethe cessationofsuchactivityandtopreventanyreoccurrence. B.Licenseeshalluseallreasonableeffortstoprotect theProductfromanyusethatisnotpermittedunderthisAgreement,andshallnotify ASTMofanyuseofwhichitlearnsorisnotified. 5.ContinuedAccesstoProduct.ASTMreservesthe righttoterminatethisLicense,uponwrittennotice,ifLicenseemateriallybreaches thetermsofthisAgreement. IfLicenseefailstopayASTManylicenseor subscriptionfeeswhendue,ASTMwillprovidetheLicenseewitha30-dayperiodwithin whichtocuresuchbreach. Nocureperiodwillbeprovidedformaterialbreaches relatingtoviolationsofSection3oranyotherbreachlikelytocauseASTMirreparable harm. IfLicensee'ssubscriptiontoanASTMProductterminates,furtheraccessto theonlinedatabasewillbedenied. IfLicenseeorAuthorizedUsersmateriallybreach thisLicenseormakeprohibitedusesofmaterialinanyASTMProduct,ASTMreservesthe righttodenyLicenseeanyaccesstotheASTMProduct,inASTM'ssolediscretion.  6.DeliveryFormatsandService. A.SomeASTMProductsusestandardInternetHTMLformat.  ASTMreservestherighttochangesuchformatuponthree[3]months'noticetoLicensee, althoughASTMwillmakereasonableeffortstousecommonlyavailableformats.  TheLicenseeandtheAuthorizedUsersareresponsibleforobtainingattheirexpense suitableInternetconnections,Webbrowsers,andlicensesforanysoftwarenecessary toviewtheASTMProducts.  B.TheASTMProductsarealsoavailableinAdobeAcrobat (PDF)formattoLicenseeanditsAuthorizedUsers,whoaresolelyresponsibleforinstalling andconfiguringtheappropriateAdobeAcrobatReadersoftware.   C.ASTMshallusereasonableeffortstomakeonlineaccess availableonacontinuousbasis.  Availabilitywillbesubjecttoperiodic interruptionanddowntimeforservermaintenance,softwareinstallationortesting, loadingnewfiles,andreasonsbeyondthecontrolofASTM.ASTMdoesnotguaranteeaccess, andwillnotbeliablefordamagesorrefundsiftheProductbecomesunavailabletemporarily, orifaccessbecomessloworincompleteduetosystemback-upprocedures,Internet trafficvolume,upgrades,overloadofrequeststoservers,generalnetworkfailures ordelays,oranyothercausethatmayfromtimetotimemaketheProductunavailable fortheLicenseeorLicensee'sAuthorizedUsers. 7.TermsandFees. B.Fees: 8.Verification.ASTMhastherighttoverifycompliance withthisAgreement,atitsexpense,andatanytimeduringthecourseofnormalbusiness hours.Todoso,ASTMwillengageanindependentconsultant,subjecttoaconfidentiality agreement,toreviewLicensee'suseofASTMProductand/orDocuments.Licenseeagreesto permitaccesstoitsinformationandcomputersystemsforthispurpose.Verification willtakeplaceuponnolessthan15daysnotice,duringnormalbusinesshoursandin amannerthatdoesnotinterfereunreasonablywithLicensee'soperations.If verificationrevealsunlicensedorprohibiteduseoftheASTMProductsorDocuments, LicenseeagreestoreimburseASTMforthecostsincurredinverificationandreimburse ASTMforanyunlicensed/prohibiteduses.Byinvokingthisprocedure,ASTMdoesnotwaive anyofitsrightstoenforcethisAgreementortoprotectitsintellectualpropertyby anyothermeanspermittedbylaw.LicenseeacknowledgesandagreesthatASTMmayimbed certainidentifyingortrackinginformationintheASTMProductsavailableonthePortal. 9.Passwords:LicenseemustimmediatelynotifyASTM ofanyknownorsuspectedunauthorizeduse(s)ofitspassword(s),oranyknownorsuspected breachofsecurity,includingtheloss,theftunauthorizeddisclosureofsuchpassword oranyunauthorizedaccesstooruseoftheASTMProduct.Licenseeissolelyresponsible formaintainingtheconfidentialityofitspassword(s)andforensuringtheauthorized accessanduseoftheASTMProduct.Personalaccounts/passwordsmaynotbeshared. 10.DisclaimerofWarranty:UnlessspecifiedinthisAgreement, allexpressorimpliedconditions,representationsandwarranties,includinganyimplied warrantyofmerchantability,fitnessforaparticularpurposeornon-infringement aredisclaimed,excepttotheextentthatthesedisclaimersareheldtobelegallyinvalid. 11.LimitationofLiability:Totheextentnotprohibitedbylaw, innoeventwillASTMbeliableforanyloss,damage,lostdataorforspecial,indirect, consequentialorpunitivedamages,howevercausedregardlessofthetheoryofliability, arisingoutoforrelatedtotheuseoftheASTMProductordownloadingoftheASTMDocuments. InnoeventwillASTM'sliabilityexceedtheamountpaidbyLicenseeunderthisLicenseAgreement. 12.General. A.Termination:ThisAgreementiseffectiveuntil terminated.LicenseemayterminatethisAgreementatanytimebydestroyingallcopies (hard,digitalorinanymedia)oftheASTMDocumentsandterminatingallaccesstotheASTMProduct. B.GoverningLaw,Venue,andJurisdiction:This Agreementshallbeinterpretedandconstruedinaccordancewiththelawsofthe CommonwealthofPennsylvania.Licenseeagreestosubmittojurisdictionandvenuein thestateandfederalcourtsofPennsylvaniaforanydisputewhichmayariseunderthis Agreement.Licenseealsoagreestowaiveanyclaimofimmunityitmaypossess. C.Integration:ThisAgreementistheentireagreement betweenLicenseeandASTMrelatingtoitssubjectmatter.Itsupersedesallprioror contemporaneousoralorwrittencommunications,proposals,representationsandwarranties andprevailsoveranyconflictingoradditionaltermsofanyquote,order,acknowledgment, orothercommunicationbetweenthepartiesrelatingtoitssubjectmatterduringtheterm ofthisAgreement.NomodificationofthisAgreementwillbebinding,unlessinwriting andsignedbyanauthorizedrepresentativeofeachparty. D.Assignment:Licenseemaynotassignortransfer itsrightsunderthisAgreementwithoutthepriorwrittenpermissionofASTM. E.Taxes.Licenseemustpayanyapplicabletaxes, otherthantaxesonASTM'snetincome,arisingoutofLicensee'suseoftheASTMProduct and/orrightsgrantedunderthisAgreement.
